Alabama

Initial reports are due 2 ˝ months after initial set up. Each year thereafter, C corps and S corps annual reports are due 2 ˝ months after the end of the year for the company, i.e. if end of year is Dec 31st annual report is due March 15th. For LLC's the annual report is due 3 ˝ months after year end. In the above example, the annual report would be due April 15th.

The penalty for failure to timely file an Alabama business privilege tax return by the due date is 10% of the tax shown due with the return or $50, whichever is greater. The penalty for failure to timely pay the amount of tax shown due on an Alabama business privilege tax return equals to 1% of the amount of tax shown due on the return for each month the tax is unpaid - not to exceed 25% of the amount shown due on the return.

California imposes an $800 Franchise Tax on all newly formed Corporations. This tax is due the 15th day of the 4th month after your Corporation is formed (all California Entities have to pay this Tax, Foreign and Domestic). The appropriate tax documents will be included with your order.

Within 90 days of forming your Corporation, California requires you to file a Statement of Information with the Secretary of State, or pay a $250 penalty.

Corporate Franchise Tax - All corporations incorporated in the State of Delaware are required to file an Annual Franchise Tax report and to pay a franchise tax. Religious and charitable non-stock corporations are exempt from the tax but must file an annual report. Taxes and annual reports are to be received no later than March 1st of each year. The minimum tax is $35.00 with a maximum tax of $165,000.00.

Corporate Annual Report - Annual reports for corporations are sent to the registered agents in December of each year. A $25.00 filing fee is required for the annual report. Annual reports or reprints may be requested through your registered agent. Calculations for Franchise Tax due are done using the Authorized Share Method on the annual report.

Initial Repots on Corporation and LLC are filed at different times. Then reports are due every two years.

For Corporations, if you file your articles before April 15, the report is due the same year. If you file your articles after April 15, you file your reports the next year.

For LLCs the reports are due any time in the first year that you file your articles. Then they are due every two years after that.

The cost for a Corporation is $250 and the cost of a LLC is $150.

Subsequent annual reports must be delivered to the Department of State between January 1 and May 1 of the subsequent calendar years.

The fee is $150 for corporations and $138.75 for LLCs.

Initial report is due within 90 days after the incorporation. The fee is $30. After the initial filing Georgia corporations will file and annual report each year between Jan 1st and April 1st.

LLC's also file annually with the initial filing due between Jan 1st and April 1st of the year after formation.

All Georgia corporations must publish a notice of intent to incorporate in the newspaper which is the official legal organ of the county where the initial registered office of the corporation is to be located, or in a newspaper of general circulation in such county and for which at least 60 percent of its subscriptions are paid.

A list of legal organs is published at http://sos.georgia.gov/corporations/legal_organs.htm . The notice of intent to incorporate and a $40.00 publication fee should be forwarded directly to the newspaper no later than the next business day after filing articles of incorporation with the Secretary of State.
